Welcome to clinicalai.org (“Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site, including any content, functionality, and services offered on or through the Site. The Site is operated by AI FOR HEALTHCARE INC. (“we,” “us,” or “Organization”), a 501(c)(3) nonprofit corporation.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Statement (collectively, the “Agreement”). If you do not agree to all of these Terms, please do not use or access the Site.

1. ACCEPTANCE OF TERMS

By accessing or using the Site, or by clicking to accept or agree to these Terms when this option is made available, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Statement.

1.2 Eligibility
You represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you are accessing or using the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

2. CHANGES TO THE TERMS

4.3 Fundraising and Distribution
As a 501(c)(3) nonprofit, we raise and distribute funds to further the development of AI for clinical use. Any donations made to us are subject to our fundraising guidelines, and we reserve the right to use donated funds in a manner consistent with our stated mission and in compliance with applicable laws.

4.4 No Medical Advice
All content on the Site is provided for informational purposes only and does not constitute medical, legal, or professional advice. We do not provide medical advice or clinical decision-making. Always seek the advice of a qualified healthcare professional with any questions you may have regarding a medical condition.

5. USER ACCOUNTS

5.1 Account Creation
To access certain features of the Site, you may be required to create a user account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form.

5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

5.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is unlawful, unethical, or otherwise harmful to us or any third party.

6. USER CONDUCT AND COMMUNITY GUIDELINES

6.1 Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

Post any content that is unlawful, harmful, defamatory, obscene, harassing, hateful, or otherwise objectionable.

7. USER CONTENT AND LICENSE

Your User Content does not violate any third-party rights, including intellectual property and privacy rights;
Your User Content does not violate any applicable laws or regulations.

User Content does not necessarily reflect our views, opinions, or policies. We do not endorse any User Content or any opinions, recommendations, or advice expressed therein.

8. INTELLECTUAL PROPERTY

8.1 Ownership
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by the Organization, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Limited License
Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal, non-commercial use. You may not reproduce, distribute, publicly display, or otherwise exploit any of the Site’s content without our prior written consent.

8.3 Trademarks
Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Organization or its affiliates or licensors. You must not use such marks without our prior written permission.

The Site may include links to third-party websites or services that we do not own or control. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

We do not provide medical or healthcare services. Any information or content on the Site relating to healthcare or AI in clinical settings is for informational purposes only and should not be construed as professional medical advice, diagnosis, or treatment.

10.3 No Guarantee of Availability
We do not guarantee that the Site will be secure, available at any particular time or location, uninterrupted, or free of bugs, viruses, or other harmful components.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall we or our officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Site or any content therein. Our total liability to you for any damages arising from or related to this Agreement or your use of the Site will at all times be limited to the greater of one hundred dollars ($100) or the amount you have paid to the Organization in the last 12 months.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Organization and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including your User Content and any use of the Site’s content, services, or products other than as expressly authorized in these Terms.

13. DONATIONS AND FUNDRAISING

13.1 Donations
Donations to the Organization support our mission to develop and promote AI for clinical use. Donations are voluntary, and we reserve the right to decline any donation at our discretion.

13.2 Use of Funds
We will use donated funds in accordance with our mission and applicable laws. While we strive to honor the preferences of donors whenever possible, we retain ultimate discretion over how donations are used.

13.3 No Refunds
Unless otherwise required by law, donations are non-refundable.

14. MODIFICATIONS AND TERMINATION

14.1 Modifications to the Site
We reserve the right to modify, suspend, or discontinue the Site, or any part thereof, with or without notice at any time.

14.2 Termination by You
You may terminate your account at any time by ceasing to use the Site and, where applicable, contacting us to request account deletion.

14.3 Termination by Us
We may terminate or suspend your account or access to the Site at our sole discretion for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will cease immediately.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

We may assign or transfer our rights and obligations under these Terms in whole or in part at any time without notice. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

16.4 No Agency
No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is intended or created by these Terms.
